These Terms of Service (“Terms”) govern your access to and use of the website located at axialfansusa.com (the “Site”), operated by Axial Fans USA Inc. (“AFI USA,” “we,” “our,” or “us”), a corporation organized under the laws of the State of Delaware and headquartered in Kemah, Texas.
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
Acceptance of Terms
These Terms constitute a binding agreement between you (whether acting individually or on behalf of an entity) and AFI USA. By browsing, submitting inquiries through, downloading materials from, or otherwise using the Site, you represent that you are at least eighteen (18) years of age and have the authority to enter into this agreement. If you use the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
About This Site
The Site is an informational resource for professionals in industrial cooling, power generation, oil and gas, petrochemical, data center, food and HVAC, and related industries. Through the Site, AFI USA provides information about its products, services, engineering capabilities, and technologies, and enables visitors to request quotations, technical documentation and consultations.
The Site is directed at business users located in North and South America. AFI USA does not accept commercial inquiries from residents of the European Union or the United Kingdom through the Site.
No Sale or Order Placement Through the Site
The Site is not an e-commerce platform. Inquiries submitted through the Site are requests for information and do not constitute purchase orders, contracts, or binding commitments of any kind, whether by you or by AFI USA. Any sale of products or services by AFI USA will be governed by a separate written agreement, quotation, or purchase order executed by both parties outside of the Site.
No content on the Site should be construed as an offer capable of acceptance. AFI USA reserves the right to accept or decline any inquiry received through the Site at its sole discretion.
Product Information and Specifications
AFI USA makes reasonable efforts to ensure that product descriptions, specifications, performance data, images and technical documentation displayed on the Site are accurate at the time of publication. However:
- All product specifications, performance characteristics, dimensions, materials and features are subject to change without notice as we continuously improve our products.
- Actual product performance depends on installation, operating conditions, application, maintenance and other factors specific to your site, and may differ from the illustrative values shown on the Site.
- Photographs, renderings and diagrams are for illustrative purposes and may not reflect the exact configuration of the product supplied.
- Any recommendations, guidelines or technical statements on the Site are provided for general informational purposes and are not a substitute for engineering analysis of your specific application.
Definitive product specifications, warranties and performance guarantees applicable to any AFI USA supply will be set forth in the applicable quotation, technical proposal or written agreement.
Intellectual Property
The Site and all content on it, including but not limited to text, graphics, images, videos, logos, product names, trademarks, trade dress, patented designs, technical drawings, software and the overall look and feel, are the property of AFI USA, its parent company Axial Fans International S.r.l. (“AFI Italy”), or its licensors, and are protected by United States and international intellectual property laws.
The UNIQUE Fan System, and other proprietary technologies displayed on the Site, are covered by patents and other intellectual property rights owned or licensed by AFI USA and AFI Italy. Nothing on the Site should be construed as granting any license or right to use any AFI USA or AFI Italy trademark, patent, or other intellectual property without our prior written consent.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site and its content solely for your internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit or exploit any Site content except as expressly permitted by these Terms or by applicable copyright law.
Downloadable Materials
Certain technical documents, brochures, datasheets and similar resources are made available for download through the Site. Such materials are provided for your internal reference and evaluation only. You may download and store copies for your business use, but you may not:
- Remove, alter or obscure any copyright, trademark or other proprietary notices on the materials;
- Reproduce or distribute the materials to third parties without our prior written permission;
- Use the materials in any way that suggests endorsement, sponsorship or affiliation with AFI USA that has not been agreed in writing.
Acceptable Use
By using the Site, you agree that you will not:
- Use the Site for any unlawful purpose or in violation of any applicable federal, state, local, or international law or regulation;
- Submit false, misleading or fraudulent information through any contact form or inquiry mechanism;
- Attempt to gain unauthorized access to any portion of the Site, to servers or networks connected to the Site, or to any accounts, systems or data of AFI USA;
- Interfere with, disrupt or place unreasonable load on the Site or its infrastructure, including by transmitting viruses, malware, worms or other harmful code;
- Use any automated system, including robots, spiders, scrapers, or offline readers, to access the Site in a manner that sends more request messages to the servers than a human can reasonably produce in the same period using a conventional web browser, except that operators of general-purpose search engines may use spiders to index the Site for the sole purpose of building publicly available search indices, and reputable AI training and inference crawlers may access the Site consistent with our published crawler instructions;
- Harvest or otherwise collect information about other users of the Site;
- Use the Site to compete with AFI USA or AFI Italy, to reverse-engineer our products or technologies, or to build a competing product or service.
Third-Party Links and Services
The Site may contain links to websites, resources or services operated by third parties. AFI USA does not control and is not responsible for the content, availability, privacy practices or terms of such third parties. Your interactions with third-party websites and services are solely between you and the third party. We recommend that you review the terms and privacy policies of any third-party website you visit through a link from the Site.

The Site and all content on it are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, AFI USA disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness and uninterrupted availability.
Without limiting the foregoing, AFI USA does not warrant that: (a) the Site will meet your requirements; (b) the Site will be available on an uninterrupted, secure or error-free basis; (c) information obtained from the Site will be accurate, complete or current; or (d) any defects will be corrected.
Content on the Site is provided for general informational purposes only and does not constitute engineering advice, professional consulting, or a substitute for a proper analysis of your specific application. You should not rely on the Site as the sole basis for making purchasing, engineering, safety or operational decisions.
Limitation of Liability

To the fullest extent permitted by law, in no event will AFI USA, its parent, affiliates, officers, directors, employees, agents or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including without limitation loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to your use of, or inability to use, the Site, even if AFI USA has been advised of the possibility of such damages.
To the fullest extent permitted by law, AFI USA's total cumulative liability to you for all claims arising out of or related to the Site or these Terms, whether in contract, tort or otherwise, will not exceed one hundred United States dollars (US$100.00).
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, intentional misconduct, or death or personal injury caused by negligence.
Indemnification
You agree to indemnify, defend and hold harmless AFI USA, its parent, affiliates and their respective officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Site; (b) your violation of these Terms; or (c) your infringement or violation of the rights of any third party.
Termination
We reserve the right, in our sole discretion and without notice, to terminate or suspend your access to all or any part of the Site at any time and for any reason, including for violation of these Terms. Upon termination, the provisions of these Terms that by their nature should survive termination will survive, including without limitation intellectual property provisions, disclaimers, limitations of liability, indemnification and governing law.
Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices with respect to personal information.
Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to them or to your use of the Site are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles.
You and AFI USA agree that the exclusive jurisdiction and venue for any action or proceeding arising out of or related to these Terms or to the Site will be the state and federal courts located in Harris County, Texas. You consent to the personal jurisdiction of such courts and waive any objection based on inconvenient forum.
Export Controls
The Site and certain content on it, including technical data related to AFI USA products and technologies, may be subject to United States export control laws and regulations. You agree to comply with all applicable export and re-export control laws in connection with your use of the Site and any content obtained from it. You represent that you are not located in, under the control of, or a national or resident of any country subject to a US embargo, and that you are not listed on any US government list of prohibited or restricted parties.
Miscellaneous
These Terms, together with the Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and AFI USA concerning the Site and supersede any prior agreements between you and AFI USA regarding the Site.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice or consent.
We may revise these Terms from time to time. When we make material changes, we will update the “Effective date” at the top of this page. Your continued use of the Site after such changes constitutes acceptance of the revised Terms.
